Terms & Conditions for CleanTech Innovators 2025
This terms and Conditions apply to CleanTech Innovators participating in the Innovation Center Exhibit from 24-26 February 2025.
Parties
The T&C below are applicable to the Exhibiting Company hereinafter referred to as “second party” with the “first party” being: DUBAI ELECTRICITY AND WATER AUTHORITY PJSC, a public joint stock company established by Dubai Law No 27 of 2021, having its principal address near Wafi Shopping Mall, Zabeel East, P.O. Box 564, Dubai, United Arab Emirates (DEWA).
Displays and Construction
DEWA Management has arranged for a standard uniform booth design. This includes the second party’s logo and name reflected in the booth design and innovation. The standard booth will be free of cost to the second party and described as below:
Indoor installation: dedicated assigned area by the first party with screen.
The selection of the second party and its innovation inclusion in the exhibition is subject to the first party assessment and its evaluation of selection criteria at the discretion of the latter. The selection decision will be shared as a written approval.
Installation and Dismantling
The second party should be available in the complete 3-day period extending from 24-26 February (9:00 am – 4:00 pm) to represent, explain and showcase the innovation. At no point should the exhibit be removed or changed during the exhibition period. In case of models, mock-ups, or equipment, the first party will coordinate the logistics closely with the second party and provide additional space if applicable. Delivery of freights and installation as well as dismantling is the sole responsibility of the second party, with the first party bearing no responsibility to any of the freight cost, installation, or dismantling. Dismantling must be completed by the second party only at the end of the event, and cause no hindrance or obstruction to the Event.
Liability and Damages
Neither DEWA Management, the official service contractor, exhibit hall management, security services, nor any of the officers or employees of the first party will be responsible for safety of property of exhibitors from theft, strikes, damage by fire, water, storm, or vandalism or other causes, although DEWA Management will take reasonable precautions through the employment of security personnel for safeguarding the premises. All property of the second party is understood to remain in their custody and control at all times, including in transit to or from or within the confines of the exhibition hall and subject to the rules and regulations of the exhibition.
The second party shall not install any additional fixtures without the prior written consent of DEWA. The Second party will be liable for any damage caused to the premises or venue by fastening fixtures to the floors, walls, columns, or ceilings of the exhibit building and for any damage to equipment furnished by the first party or service suppliers designated by them.
Force Majeure
In the case of a force majeure, meaning any circumstances beyond the control of the parties, including but not limited to: act of God, epidemic or pandemic, extreme weather or hazardous events, any event which could not be prevented by the affected Party by undertaking reasonable precautions, neither party shall be considered in default or breach of their obligations within these terms and conditions.
The first party will, upon examination, take the best decision given the circumstances whether to go through with the exhibition or not.
Intellectual Property Rights and Use of Trademarks
IP rights constitute all forms of copyright and authors rights, database rights, rights in data, patents, design rights, rights to inventions, utility models, business names, trade names, trademarks, logos, service marks, domain names, know-how, trade secrets, the right to sue for passing off, unfair competition rights, moral rights, Confidential Information and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted registration, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future anywhere in the world;
Second Party shall ensure that they shall also indemnify DEWA, its personnel, representatives, and Affiliates from all and any claims from any Third party/parties including any/all IPR Claims which arise as a result of the Second Party’s, its personnel, representatives and Affiliates’ action/display/role through this temporary exhibition including exhibit works and/or any other materials, presentation, promotion etc. as maybe applicable.
Neither Party shall use the intellectual property, including logos, trademarks, service marks, trade names, service names, and brand names of the other Party, whether in a press release or otherwise, without obtaining such Party’s prior written consent.
Any press release or other public disclosure in regard to these T&C will be prepared jointly by both Parties and issued only after the receipt of the consent of both parties.
Confidentiality
The Second Party agrees to treat all the information provided by the First Party/DEWA, and all the information accessed during the as confidential information, during the CleanTech Innovators Exhibit, as a confidential information and should not be disclosed without the First Party written prior consent.
Exclusion
The First party have the right to suspend, exclude or cancel any Participant from the CleanTech Innovators Exhibition, if he/she committed any breach to this Terms & conditions.
Governing law and Jurisdiction
This Terms and Conditions is governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable laws of UAE. Any dispute that may arise in connection with the CleanTech Innovators Exhibit, shall be finally resolved by the decision of First Party management.
